Terms of Use

These Terms of Use ("Terms") govern your access to and use of the products and services offered by VBC Risk Analytics, Inc. ("we," "us," or "our") through NPI Data Services (npidataservices.com), its product family — including Provider Data, Provider Signals (Growth and Risk), the NPI Registry API, NPI Lookup, PECOS Lookup, New Providers, and our other products, datasets, APIs, and tools (collectively, the "Services"). By clicking "I agree" (or "Create account," "Start free," or a similar control), or by accessing or using any of the Services, you acknowledge that you have read and agree to be bound by these Terms and the Privacy Policy, which is incorporated here by reference. If you accept on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. If you do not agree, do not access or use the Services.

1. Acceptance & updates

Your affirmative acceptance at sign-up, or your access or use of the Services, constitutes agreement to these Terms. We may update these Terms from time to time; material changes will be posted here with a new "Last updated" date, and we may require you to re-accept updated Terms as a condition of continued use. Continued use after an update constitutes acceptance.

2. The Services

The Services provide provider information, intelligence, and tools derived from publicly available data. They include, depending on the product: a searchable healthcare provider database; Provider Signals — Growth (newly enumerated providers and practices, relocations, and other provider changes from NPPES, by specialty and geography); Provider Signals — Risk (monitoring providers you select against federal and state exclusion and sanction sources); the NPI Registry API; PECOS Lookup; and New Providers. Features may include saved searches/rosters, alerts, CSV export, and API access. You may use one or more Services as applicable to your plan. We may add, change, or remove features at any time, and roadmap or "coming soon" features are not guaranteed.

3. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account credentials, for all activity under your account, and for keeping your information accurate. Each seat is for one named individual; do not share logins.

4. Subscriptions, billing & payments

  • Payment processor. Payments are processed by Stripe, Inc. By subscribing, you authorize us and Stripe to charge your payment method, and you agree to Stripe's terms. We do not store your full card details.
  • Plans & billing cycles. Paid plans are billed in advance on a monthly or annual cycle, as selected. Annual plans are discounted as described at checkout.
  • Free plans. Free tiers are provided "as is" and may be changed, limited, or discontinued at any time.
  • Auto-renewal. Subscriptions renew automatically at the then-current price until canceled.
  • Upgrades/downgrades. Plan changes take effect immediately and are prorated automatically.
  • Cancellation. You may cancel anytime; access continues through the end of the current billing period, after which no further charges are made.
  • No refunds. All fees are charged in advance and are non-refundable, including for partial billing periods, unused time, downgrades, account suspension or termination for breach, or features you do not use — except where a refund is required by applicable law. Canceling stops future renewals but does not refund amounts already paid for the current term.
  • Taxes. Prices exclude taxes, which you are responsible for.
  • Price changes. We may change our prices, plans, and fees at any time in our sole discretion. Changes to recurring fees apply at the start of your next billing period — your current paid term is honored at the price then in effect — and we will give notice before a change applies to your renewal where required by law. Promotional or introductory rates, and roster- or usage-based rate cards, may change or end. Continued use after a change takes effect constitutes acceptance; if you do not agree, cancel before your next renewal.

5. Acceptable use

You agree not to: (a) resell, redistribute, sublicense, or create derivative datasets from the data except as expressly permitted by your plan; (b) scrape, harvest, overload, reverse-engineer, or circumvent rate limits or access controls, including via the NPI Registry API; (c) use the Services or any output for unlawful, deceptive, discriminatory, or harassing purposes, or for any purpose covered by the Fair Credit Reporting Act (see Section 7); or (d) use provider data for outreach in violation of applicable law, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and state telemarketing and Do-Not-Call rules. You are solely responsible for your outreach, your use of exported data, and your compliance with all applicable laws.

6. Data & sources; no reliance

Provider information and signals are derived from publicly available government and third-party data, including NPPES (CMS), the OIG List of Excluded Individuals/Entities (LEIE), GSA SAM.gov, OFAC (SDN and Non-SDN), the Medicare Opt-Out list, PECOS / Medicare enrollment data, and state Medicaid exclusion and sanction lists. We do not create this data and do not guarantee its accuracy, completeness, or timeliness; it may contain errors, omissions, or delays, and sources may change or become unavailable. Different sources are refreshed at different intervals, and there may be a lag between a change at the source and its appearance in the Services; always verify against the authoritative source before acting. An NPI is not by itself proof of an active practice, state licensure, board certification, or payer enrollment. The Services are an awareness, research, and business-development tool — not a system of record, a credentialing or eligibility decision, or a complete compliance program. A match, non-match, or any output is not a compliance, eligibility, enrollment, licensure, billing, employment, or hiring determination; you are responsible for independently verifying any output against the authoritative source before acting. The Services are provided for informational and business-development purposes and are not legal, medical, billing, tax, or compliance advice. The Services are not affiliated with or endorsed by any government agency or data source. 7. Not a consumer reporting agency (FCRA)

We are not a "consumer reporting agency" as defined by the federal Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. ("FCRA"), or any analogous state law. The Services, the data, and any reports, alerts, scores, or exports are not "consumer reports" or "investigative consumer reports" and are not intended to be used as a factor in establishing any individual's eligibility for employment, credit, insurance, housing, or any other purpose covered by the FCRA. You agree not to use the Services, in whole or in part: (a) as a factor in any FCRA-covered eligibility decision; (b) in any manner that would cause us to be deemed a consumer reporting agency or any output to be deemed a consumer report; or (c) to take adverse action regarding any individual without independently obtaining and verifying the information from the authoritative source and complying with all applicable laws. You are solely responsible for your use of any output in connection with employment, contracting, credentialing, or similar decisions, including compliance with the FCRA, state background-check laws, EEOC guidance, and anti-discrimination laws.

8. No PHI; not a HIPAA business associate

The provider data in the Services is public professional and business information about healthcare providers and entities and is not "protected health information" ("PHI") under HIPAA. The Services are not intended to create, receive, maintain, or transmit PHI on your behalf, and we are not acting as your "business associate" under HIPAA. A Business Associate Agreement is not required for, and does not apply to, the standard Services. You agree not to upload, submit, or transmit any PHI, patient data, or other special-category or sensitive personal information to the Services, and you must limit data you submit to provider identifiers (such as NPIs and provider names) necessary to use the Services.

9. Your data

As between the parties, you retain all rights in the data you upload or submit to the Services ("Customer Data"). You grant us a non-exclusive, worldwide, royalty-free license to host, process, and use Customer Data solely to provide, secure, support, and improve the Services. You represent and warrant that you have all rights and authority necessary to provide Customer Data and to have it processed as described, and that doing so does not violate any law or third-party right. You must not submit Customer Data containing PHI or special-category personal data (see Section 8). We handle Customer Data as described in the Privacy Policy, apply commercially reasonable safeguards, and will delete or return Customer Data after termination as described there, subject to legal retention requirements and routine backups.

10. Intellectual property

The Services, software, compilations, and our brands (including NPI Data Services) are owned by us. We grant you a limited, non-exclusive, non-transferable right to use the Services per these Terms and your plan. Data you export may be used for your internal business purposes subject to Sections 5 and 7.

11. Third-party services

The Services rely on third parties such as Stripe (payments) and our hosting and email providers. Your use of those features may be subject to their terms, and we are not responsible for their acts or omissions.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that data will be accurate.

13. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our total liability for any claim is limited to the amounts you paid for the Services in the 12 months before the claim.

14. Indemnification

You agree to indemnify and hold harmless us (VBC Risk Analytics, Inc.) from claims arising out of your use of the Services, your data, or your violation of these Terms or applicable law.

15. Termination

You may stop using the Services at any time. We may suspend or terminate access for violation of these Terms or non-payment. Upon termination, your right to use the Services ends; certain provisions survive (e.g., Sections 6–9 and 12–14).

16. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware.
